Terms and conditions

These terms and conditions constitute a legally binding agreement between Avery Technology LLC, a Delaware limited liability company (our United States entity), and its European affiliate Eagle Ventures Ltd, registered in Ireland (collectively “Avery”, “we”, “us”, or “our”), and you (“you”), concerning your access to and use of the Avery services, including our website at https://averyapp.ai, and any related products, services, or tools (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Services overview

Avery provides financial organisation tools for individuals and businesses, including one-person businesses. Depending on your subscription, the Services include bank connections, transaction organisation, Google Sheets syncing, mobile and web apps, invoices, receipts, reports and accountant collaboration. Features and limits depend on the product and plan you choose.

Some features may require registration or a subscription. By registering or subscribing, you represent that the information you provide is accurate and that you will keep it up to date.

Avery helps you organise financial records. You remain responsible for reviewing categories, extracted receipt information, invoices, reports and AI-generated answers before relying on them. Avery does not provide tax filing, guarantee deductions or replace your accountant or professional advice.

App workspaces store financial records to provide app features. Relay-only Google Sheets workspaces keep their bank transaction ledger in the spreadsheet: Avery processes those transactions to deliver them to Sheets without persisting them as app transaction records. Account details and balances are stored separately, including for relay-only workspaces. Moving a relay-only workspace to app transaction storage requires the applicable storage consent.

2. User accounts

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

We reserve the right to suspend or terminate your account if we suspect fraudulent activity or a violation of these Terms.

3. Payment and billing

The payment provider, price, currency and billing period applicable to your purchase are shown before you subscribe. Avery uses Stripe for app subscription checkout. Existing payment arrangements may use other providers, including GoCardless.

You agree to pay all applicable fees and taxes. Failure to pay may result in termination or suspension of your access to the Services.

Free trials: Free trials may be available for particular products and offers. The applicable offer specifies the trial duration, whether a payment method is required, the subsequent subscription charge and the billing interval. If your trial includes automatic paid renewal, cancel before the trial ends to avoid the stated charge. An offer without a payment method does not authorise a charge to a payment method you have not supplied.

Subscriptions and auto-renewal: Paid subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date. You may cancel your subscription at any time by contacting support@averyapp.ai, but cancellation will take effect at the end of the current billing period.

Refunds: Subscription fees are non-refundable except where the terms of your specific offer provide a refund or money-back guarantee, or applicable law requires otherwise. Any offer-specific guarantee and its conditions are shown with that offer.

4. Third-party integrations

Avery integrates with several third-party services:

• Google – for accessing and editing Google Sheets
• Plaid – for connecting and syncing your financial accounts (via Avery Technology LLC, our US entity)
• Stripe – for secure payment processing (via Avery Technology LLC, our US entity)
• GoCardless – for direct debit payments in Europe (via Eagle Ventures Ltd, our European entity)

You agree to comply with the terms and privacy policies of these providers. Avery does not store your banking credentials and only accesses financial data with your explicit consent.

5. License and intellectual property

All content and materials within the Services are the property of Avery or its licensors. You are granted a limited, non-transferable, non-exclusive license to access and use the Services for your own personal or business purposes, including use by collaborators you authorise within the permissions available on your plan.

You may not reproduce, distribute, or create derivative works without our written permission.

6. Prohibited activities

You may not use the Services to:

• Violate any law or regulation
• Infringe the rights of any third party
• Engage in unauthorized data scraping or extraction
• Interfere with or disrupt the Services

Violation may result in account suspension and legal action.

7. Termination

We may suspend or terminate your access to the Services at any time and without prior notice if we believe you are in breach of these Terms or applicable laws.

8. Disclaimers

The Services are provided “as is” and “as available.” We make no warranties regarding accuracy, completeness, or availability. Use the Services at your own risk.

We disclaim all liability for any financial decisions made based on your use of Avery.

EU right of withdrawal: If you are a consumer in the European Union, you may have a 14-day statutory right of withdrawal for online purchases. However, by activating a free trial or subscribing to the Services, you expressly consent to the immediate provision of digital content and acknowledge that you waive your right of withdrawal once the Services have been accessed or the trial has begun, in accordance with Article 16(m) of the EU Consumer Rights Directive.

9. Limitation of liability

To the maximum extent permitted by law, Avery shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services. In no event shall our total aggregate liability to you for all claims arising out of or relating to the Services exceed the total amount of fees paid by you to Avery in the twelve (12) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, liability, or expense arising out of your use of the Services or breach of these Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States. If you are a user in the European Union, local mandatory consumer protection laws may also apply.

Dispute resolution: Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation by contacting support@averyapp.ai. If the dispute cannot be resolved within thirty (30) days, either party may submit it to binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in English. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

12. Changes to these terms

We may modify these Terms from time to time. Updated versions will be posted on our website with the date of revision. Continued use of the Services after changes means you accept the revised Terms.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Avery regarding the Services and supersede all prior agreements and understandings.

14. Free trial consent

By activating a free trial, you expressly consent to these Terms of Service and our Privacy Policy. Your continued use of the Services during and after the trial period constitutes ongoing acceptance of these terms. You acknowledge that: (a) your trial may convert to a paid subscription automatically; (b) all subscription fees are non-refundable once charged; and (c) you may cancel at any time before conversion by contacting support@averyapp.ai.
